Welcome to Espider Web Solutions ("we," "us," or "our"). These Terms and Conditions ("Terms") govern your use of our website (www.espider.in) and our services. By accessing or using our services, you agree to these Terms. If you do not agree, please do not use our services.

1. Introduction

Espider Web Solutions agrees to provide web development, design, e-commerce, SEO, and related digital services ("Services") as outlined in a written Proposal or Agreement. Services commence upon signing the Agreement and payment of the initial deposit.

2. The Project

  • We will develop the project according to the specifications in the Proposal.
  • Any changes must be agreed in writing; additional work will be charged at our standard rates.

3. Delivery and Acceptance

  • Full payment is required before deployment to your hosting.
  • You have 14 days to test and accept the project.
  • Acceptance occurs if no issues are raised or if the project is used in production.

4. Client Responsibilities

  • You must provide all content, materials, and feedback promptly.
  • Delays in provision may cause project delays without liability on our part.

5. Fees and Payment

  • Payments as per the Proposal schedule (e.g., 50% deposit, balance on completion).
  • All fees exclude applicable taxes.
  • Late payments incur interest at 1.5% per month and may result in suspension of services.
  • Deposits are non-refundable after work begins, except in cases of our default.

6. Intellectual Property Rights

  • You grant us a licence to use your content for the project.
  • Upon full payment, we transfer a perpetual licence for our work product, excluding third-party tools.
  • You may not modify or resell our work without permission.
  • We retain rights to use your project in our portfolio.

7. Warranties and Disclaimers

  • We warrant our services will be performed with reasonable skill and care.
  • No other warranties, express or implied, are provided.
  • You warrant your content does not infringe third-party rights.

8. Limitation of Liability

  • Our liability is limited to the fees paid for the project.
  • No liability for indirect losses, such as lost profits or data loss.
  • We are not responsible for third-party hosting or internet issues.

9. Indemnity

You agree to indemnify us against claims arising from your content or misuse of our services.

10. Termination

  • Either party may terminate for material breach with 30 days' notice to remedy.
  • Upon termination, you pay for work completed; we return unused deposits if applicable.

11. Confidentiality

Both parties agree to keep confidential information secret for 2 years post-project, except as required by law.

12. Governing Law

These Terms are governed by the laws of India. Disputes shall be resolved in the courts of Bokaro, Jharkhand.

13. General

  • These Terms constitute the entire agreement.
  • We may update these Terms; continued use implies acceptance.

14. WhatsApp Business Platform / ESWAP Services

Espider Web Solutions provides WhatsApp Business Platform-based messaging services through ESWAP. These services include customer onboarding, WhatsApp Business account integration, message template management, message sending, webhook-based delivery status tracking, reporting, and related technical support.

Clients are responsible for ensuring that all WhatsApp messages sent through ESWAP comply with applicable laws, Meta and WhatsApp policies, customer consent requirements, template rules, anti-spam rules, and data protection obligations.

Espider Web Solutions is not responsible for message rejection, template rejection, delivery failure, account restriction, phone number restriction, billing issues, policy enforcement, or service interruption caused by Meta, WhatsApp, telecom providers, hosting providers, payment providers, or incorrect client usage.

We may suspend or restrict access to ESWAP if we detect misuse, spam, unauthorised messaging, policy violation, non-payment, security risk, or any activity that may affect our platform, clients, Meta assets, or third parties.
